VERTEXIA

VERTEXIA LEGAL NOTICE / COMPANY INFORMATION

Document ID: VERTEXIA-LEGAL-NOTICE-v1.2 Status: Frozen for first publication Version: 1.2 Effective date: From the first public publication of this version by Vertexia, as recorded in the legal release registry. Document frozen on: 17 October 2026 Primary website: https://vertexia.be

1. Purpose of this Legal Notice

This Legal Notice provides legal and business information concerning the operator of the Vertexia website and the Vertexia digital-product activity.

It is intended to allow website visitors, professional customers and relevant authorities to identify and contact the business operator.

This document is informational.

It is not a separate contractual acceptance instrument and does not require a separate checkout checkbox.

2. Website operator

The website and Vertexia commercial activity are operated by:

Legal operator: Mimoun Mouhajir Commercial name: Vertexia Legal form / professional capacity: sole proprietor / natural-person enterprise Establishment address: Avenue du Scheutbosch 27, Box 2, 1080 Molenbeek-Saint-Jean, Belgium Country: Belgium Belgian enterprise number (BCE/KBO): 1042.698.035 VAT status / VAT number: Belgian VAT registered — BE1042.698.035 Business email: contact@vertexia.be Telephone: +32 492 21 06 70

3. Commercial name

Vertexia is the commercial name used for the digital-product activity described in this Legal Notice.

Use of the Vertexia commercial name does not replace the obligation to identify the actual legal or natural-person business operator behind the activity.

The legal operator and commercial name must be displayed consistently across:

  • this Legal Notice;
  • the Privacy Policy;
  • B2B Terms & Conditions;
  • relevant business communications;
  • contractual records;
  • and other places where applicable law requires identification.

4. Website

The principal Vertexia website is:

https://vertexia.be

Vertexia may also use additional domains, subdomains, Product pages or demonstration environments.

The existence of an additional domain or Product demonstration does not by itself create a separate legal operator.

Where another site is operated by a different party, that party's own legal information applies.

5. Nature of the Vertexia activity

Vertexia develops, publishes and licenses digital products, including source-code products and related software resources intended primarily for professional use.

The activity may include:

  • software and source-code Product development;
  • white-label digital products;
  • web frameworks;
  • templates or modules;
  • Product documentation;
  • Product maintenance;
  • Product Support;
  • and other digital products or related activities lawfully offered by Vertexia.

The exact scope of any Product is determined by its Product description and applicable contractual documents.

6. Independent Product Company positioning

Vertexia operates as an independent digital-product business.

The commercial positioning:

“Independent Product Company”

is a brand description and does not itself constitute a separate legal form or corporate status.

The official legal status of the operator is determined exclusively by the actual administrative registration identified in Section 2.

7. Real-estate technology products

Certain Vertexia Products, including Urbia A2, are designed for use in the real-estate sector.

The development or licensing of real-estate software does not, by itself, mean that Vertexia acts as:

  • a real-estate agent;
  • property broker;
  • property intermediary;
  • estate agency;
  • property valuer;
  • property seller;
  • property developer;
  • financial adviser;
  • mortgage broker;
  • or representative of properties displayed in a demonstration.

Vertexia's Product role must not be confused with the regulated or commercial activities carried out by a Licensee using the Product.

8. No property brokerage through Urbia A2

Urbia A2 is a software/source-code Product.

Unless Vertexia expressly enters into a separate legally valid relationship providing otherwise, Vertexia does not through the sale of Urbia A2:

  • negotiate property transactions;
  • introduce buyers and sellers as a real-estate intermediary;
  • represent property owners;
  • collect real-estate commissions;
  • verify legal title to properties;
  • certify listing information;
  • or provide personalised real-estate advice.

The purchaser of Urbia A2 is responsible for the lawful operation of its own resulting Commercial Project.

9. Business customers only

Products sold under the current Vertexia commercial checkout are intended for professional and business customers.

The Urbia A2 commercial offer is designed as a B2B-only offer.

Consumer purchases are not invited through that checkout.

Further conditions relating to professional capacity are contained in the applicable:

VERTEXIA-B2B-TC-v1.2

Nothing in this Legal Notice removes mandatory rights that applicable law does not permit the parties to exclude.

10. Urbia A2

Urbia Product Edition A2 is a Vertexia digital source-code Product intended to allow an authorised professional Licensee to create one Commercial Project under the applicable Commercial License.

The Product's legal use is governed by:

URBIA-A2-COMMERCIAL-LICENSE-v2.2

and, where one End Client receives an authorised Commercial Project:

URBIA-A2-END-CLIENT-NOTICE-v1.2

The Product's technical capabilities do not expand the contractual rights granted by those documents.

11. Commercial terms

Purchases made through the Vertexia commercial checkout are subject to the contractual documents identified during that transaction.

For Urbia A2, the principal contractual chain is:

Vertexia B2B Terms & Conditions

→ Urbia A2 Commercial License

→ incorporated End Client Limited Use Notice

The End Client Notice does not require a separate checkbox during the original Vertexia purchase.

The Privacy Policy, Cookie Policy and this Legal Notice are informational documents rather than additional contractual acceptance controls.

12. Stripe Managed Payments

Eligible online Product purchases are processed through Stripe Managed Payments. Sold through Link, LLC is the legal entity providing the Merchant-of-Record service, as confirmed in the conditions accessible from the Vertexia LIVE Checkout on 17 October 2026. Vertexia remains the Product provider and licensor, responsible for its licence, Product Support and delivery.

For qualifying Managed Payments transactions:

Vertexia remains the Seller, Product provider and licensor.

Managed Payments provides the transaction layer, including payment handling and transaction-level support. Vertexia supplies Urbia A2, its licence, documentation, Product Support and delivery.

That distinction means, among other things, that:

  • Stripe / Link does not become the owner of Urbia A2 merely by processing the transaction;
  • Stripe / Link does not grant the Vertexia Product licence;
  • Vertexia does not represent itself as the Merchant of Record for a transaction actually processed under Managed Payments;
  • and Vertexia remains responsible for its own Product and licensing obligations, cooperation in disputes and applicable financial liabilities.

Refund handling remains subject to the applicable Managed Payments policy and mandatory law; a more restrictive Vertexia policy cannot override that framework.

13. Stripe / Link customer terms

A Customer using Managed Payments may also be subject to customer-facing terms, privacy information, disclosures or transaction rules issued by Stripe, Link or an applicable affiliate.

The exact Stripe / Link material applicable to the Customer can change according to:

  • the service used;
  • the Customer's location;
  • the Seller account;
  • the transaction;
  • and the then-current Managed Payments framework.

For that reason, Vertexia does not freeze a potentially obsolete Stripe customer URL into this Legal Notice as though it were permanently applicable.

The applicable customer-facing terms are available from the external Stripe/Link Checkout. For Belgium, the Link terms identify the applicable services and country-specific provisions. Provisions expressly limited to Canada are not applied to Belgium. The legal entity confirmed for the Merchant-of-Record service is Sold through Link, LLC; this does not assign every Stripe service or processing activity to that entity.

14. Transaction documents

For Managed Payments transactions, transaction-level documentation such as a:

  • payment receipt;
  • transaction invoice;
  • refund document;
  • or credit note

may be generated through the applicable Stripe / Link Managed Payments framework.

Vertexia separately supplies the Product/licensing documentation applicable to the purchase, including where appropriate the:

Order & License Confirmation

and durable Vertexia contractual package.

A Vertexia licence document does not pretend to be the Stripe / Link transaction invoice.

Likewise, a Stripe / Link receipt does not replace the Vertexia Commercial License.

15. Prices and taxation

Product prices are communicated through the applicable Product and checkout environment.

Applicable taxes, where any are due within the Managed Payments transaction, may be determined and presented through the Managed Payments framework.

Vertexia does not make a blanket statement in this Legal Notice that every displayed price is:

  • VAT inclusive;
  • VAT exclusive;
  • subject to reverse charge;
  • or tax exempt

unless that statement has been verified for the actual transaction and applicable tax configuration.

Before LIVE operation, Vertexia's own Belgian VAT status must be completed:

VAT status: Belgian VAT registered — normal regime VAT number: BE1042.698.035

The Customer remains responsible for its own business accounting and tax obligations.

16. Product delivery

Urbia A2 and other digital Products may be delivered electronically.

The exact delivery method may include secure Product access or another electronic fulfilment mechanism.

A temporary Product download link may expire without terminating a valid underlying licence.

Product access, contractual evidence and Stripe transaction documentation are separate operational concepts and should not be presented as interchangeable.

17. Intellectual property

Unless expressly stated otherwise, the Vertexia website, Vertexia Products and original materials made available by Vertexia may be protected by copyright, trademark and other intellectual-property rights.

Rights not expressly granted remain with Vertexia or the applicable rights holder.

Purchasing a Product does not automatically transfer ownership of its underlying intellectual property.

The scope of Product-use rights is determined by the relevant Commercial License.

18. Vertexia name and branding

The Vertexia name, visual identity and associated branding may not be used in a way that falsely suggests:

  • endorsement;
  • partnership;
  • certification;
  • authorship;
  • sponsorship;
  • or affiliation with Vertexia.

Urbia A2's white-label rights allow an authorised Commercial Project to operate under the Licensee's or End Client's branding as provided in its Commercial License.

Those white-label rights do not transfer ownership of the Vertexia name or brand.

19. Third-party materials

The Vertexia website and Products may contain or refer to third-party:

  • software;
  • libraries;
  • fonts;
  • services;
  • trademarks;
  • or other materials.

Those elements remain subject to the rights and terms applicable to their respective owners.

Mention of a third-party product, company or service does not by itself imply sponsorship, endorsement or partnership.

Applicable Product third-party notices are supplied separately where required.

20. Demonstration content

Vertexia may use demonstrations, mockups, fictional listings, example information or illustrative Product configurations to demonstrate Product functionality.

Unless expressly identified as genuine, demonstration real-estate information should not be interpreted as:

  • an active property listing;
  • a legal offer to sell property;
  • verified property data;
  • a real brokerage mandate;
  • or evidence that Vertexia represents the property shown.

Public Product demonstrations should distinguish fictional/demo content from genuine commercial information where confusion could reasonably arise.

21. Product statements and demonstrations

Screenshots, demonstrations, Product previews and marketing materials may illustrate a Product's capabilities.

They do not guarantee:

  • a particular commercial result;
  • increased revenue;
  • a particular SEO position;
  • property sales;
  • lead volume;
  • conversion rate;
  • or other business performance

unless Vertexia expressly gives such a commitment in the applicable contractual offer.

Product descriptions must nevertheless remain accurate and must not be materially misleading.

Marketing language does not override mandatory information obligations.

22. External links

The Vertexia website may contain links to websites operated by third parties.

Vertexia does not automatically control the:

  • content;
  • availability;
  • privacy practices;
  • security;
  • terms;
  • or commercial conduct

of an independently operated external website merely because a link is provided.

A link does not necessarily imply endorsement or partnership.

This does not exclude responsibility where applicable law would impose it in the particular circumstances.

23. Privacy

Information concerning Vertexia's processing of personal data is provided in:

VERTEXIA-PRIVACY-POLICY-v1.2

That Policy covers matters including:

  • business enquiries;
  • purchase administration;
  • Stripe / Link transaction information received by Vertexia;
  • Contract Evidence Records;
  • Product fulfilment;
  • support;
  • refunds and disputes;
  • privacy rights;
  • and relevant provider relationships.

The final production Privacy Policy must reflect the actual processing architecture.

24. Cookies and similar technologies

Information concerning cookies and comparable technologies used on Vertexia-controlled pages is provided in:

VERTEXIA-COOKIE-POLICY-v1.1

Vertexia's Cookie Policy is based on actual runtime behaviour rather than a fictitious generic cookie inventory.

Before LIVE commercial operation, the production website must undergo the required cookie/storage/network audit.

25. Product Support

Questions concerning:

  • Product files;
  • Product installation;
  • configuration;
  • Product documentation;
  • reproducible Product defects;
  • licence documentation;
  • or Product access

should be directed to Vertexia through the applicable Product-support contact.

Product support email: contact@vertexia.be

The exact scope and duration of included Product Support are determined by the applicable Product offer and Commercial License.

For Urbia A2, the approved commercial architecture includes 30 calendar days of Product Support from the applicable Fulfilment Date.

26. Transaction support

Questions concerning the Managed Payments transaction itself — for example a:

  • payment;
  • payment method;
  • Stripe / Link transaction receipt;
  • applicable transaction invoice;
  • refund processed through the Managed Payments layer;
  • or another transaction-layer matter

may need to be handled through the applicable Stripe / Link support process.

Vertexia remains the point of contact for Vertexia Product and licence matters.

Where a matter genuinely involves both layers, Vertexia will reasonably cooperate with the applicable transaction provider.

27. Complaints

Product-related complaints may be sent to:

Vertexia business email: contact@vertexia.be

Business address: Avenue du Scheutbosch 27, Box 2, 1080 Molenbeek-Saint-Jean, Belgium

Telephone: +32 492 21 06 70

The final contact information must permit direct and effective communication with the business.

A Customer is not prevented from exercising any mandatory legal or judicial remedy merely because Vertexia first offers a direct complaints channel.

28. Regulated professions and supervisory authorities

Vertexia's current intended activity is the development and licensing of digital Products.

The fact that certain Products serve the real-estate sector does not, by itself, mean that Vertexia should publish the details of a real-estate professional regulator as though Vertexia were registered as a regulated real-estate intermediary.

However, if Vertexia's actual activity later becomes subject to:

  • professional authorisation;
  • a regulated professional title;
  • a supervisory authority;
  • or another specific regulatory registration,

the legally required information must be added to this Legal Notice.

Current status: No regulated profession or supervisory authority has been identified as applicable to Vertexia's current software development and licensing activity.

No professional registration or supervisory authority may be invented.

29. Professional rules and codes of conduct

If Vertexia becomes subject to a legally or contractually applicable professional code of conduct that must be publicly identified, this Legal Notice will provide the relevant information and means of consulting that code.

Current status: No regulated profession or supervisory authority has been identified as applicable to Vertexia's current software development and licensing activity.

Vertexia must not imply membership of:

  • a professional order;
  • association;
  • accreditation scheme;
  • certification body;
  • or regulated professional organisation

unless that membership genuinely exists.

30. Accuracy of business information

Vertexia must take reasonable steps to keep its mandatory business information accurate.

Administrative information must be updated when a genuine change occurs, including where relevant:

  • business operator;
  • legal status;
  • establishment address;
  • enterprise number;
  • VAT status;
  • business email;
  • telephone;
  • or regulatory information.

A historical contract record is not rewritten merely because current business details later change.

Where appropriate, historical documents remain evidence of the information applicable when they were issued.

31. Changes to this Legal Notice

Vertexia may update this Legal Notice when actual legal or administrative information changes.

Examples include:

  • completion of business registration;
  • change of legal form;
  • change of establishment;
  • change of contact details;
  • change of VAT status;
  • change of regulated status;
  • change of commercial transaction architecture;
  • or another legal requirement.

A substantive legal change must receive an appropriate new document version where required by the Vertexia legal-release architecture.

32. Versioning

This consolidated release is:

VERTEXIA-LEGAL-NOTICE-v1.2

Each frozen production release must be reproducible.

Vertexia must preserve, where applicable:

  • Document ID;
  • version;
  • effective date;
  • and SHA-256 of the exact released file.

A materially revised Legal Notice must receive a new version identifier rather than silently overwriting an earlier frozen release.

No SHA-256 is assigned until the exact final file bytes exist.

33. Relationship with other Vertexia legal documents

The Vertexia legal architecture currently includes:

VERTEXIA-B2B-TC-v1.2 URBIA-A2-COMMERCIAL-LICENSE-v2.2 URBIA-A2-END-CLIENT-NOTICE-v1.2 VERTEXIA-PRIVACY-POLICY-v1.2 VERTEXIA-COOKIE-POLICY-v1.1 VERTEXIA-LEGAL-NOTICE-v1.2

These documents serve different purposes.

This Legal Notice must not be used as a substitute for:

  • the purchase Terms;
  • the Commercial License;
  • the Privacy Policy;
  • or the Cookie Policy.

Likewise, those documents must not contain conflicting operator information.
